1. Agreement to Terms

By accessing or using the services provided by LocalScout LLC ("we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will notify you of material changes by posting the updated Terms on this page.

2. Description of Service

LocalScout provides a platform for businesses to track, manage, and analyze their Google Business Profile performance, monitor reviews, analyze competitors, and access competitive intelligence tools. Our Service includes various features and functionalities that may be updated, modified, or discontinued at our discretion.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By creating an account, you represent and warrant that you meet these requirements.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a recurring basis (monthly or annually) as selected by you.

4.2 Payment

You agree to pay all fees associated with your subscription. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change our pricing at any time, but we will provide notice of price changes before they take effect.

4.3 Automatic Renewal

Unless you cancel your subscription, it will automatically renew at the end of each billing period. You authorize us to charge your payment method for the renewal period.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe upon the rights of others, including intellectual property rights
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users
  • Use the Service to send spam or unsolicited communications

6. Intellectual Property Rights

6.1 Our Rights

The Service, including all content, features, functionality, and technology, is owned by LocalScout LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

6.2 Your Content

You retain ownership of any content you submit, post, or display through the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving the Service.

7. Third-Party Services and Integrations

Our Service may integrate with third-party services, including Google Business Profile and other platforms. Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices of third-party services.

When you connect your accounts to our Service, you authorize us to access and use information from those accounts as necessary to provide our Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any information provided through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALSOUT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless LocalScout LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, violation of these Terms, or infringement of any rights of another.

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription and contacting us to delete your account.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in any conduct that we determine is harmful to the Service or other users.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though some information may be retained as required by law or for legitimate business purposes.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive any right to a jury trial or to participate in a class action lawsuit.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LocalScout LLC is incorporated, without regard to its conflict of law provisions.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LocalScout LLC regarding the Service and supersede all prior agreements and understandings.
